Terms & Conditions of Sale

These Terms & Conditions of Sale set out the standard terms for the sale of machinery, equipment, and components by Polydeck Screen Corporation (“Polydeck”) to its customers (“Purchaser”). They address pricing, payment, shipping, warranties, and other conditions of sale.

1. Prices, Taxes & Shipping

Prices are net, F.O.B. shipping point, and exclude sales, use, excise, or similar taxes and customs duties. Purchaser shall pay or reimburse Polydeck for any applicable taxes or customs duties, unless Purchaser provides a tax-exemption certificate acceptable to the applicable taxing authorities.

Parcel post and express shipments will be insured at Purchaser’s expense. Other shipments will not be insured unless specified in the order. Unless otherwise specified by Purchaser, Polydeck will select the shipping method and route, subject to Purchaser’s acceptance.

2. Payment Terms

Payment shall be made in U.S. dollars to Polydeck in South Carolina within 30 days of shipment, unless otherwise specified in writing. No discount is allowed for early payment.

If machinery or equipment is ready for shipment on or after the scheduled delivery date but shipment is delayed at Purchaser’s request or for any other reason beyond Polydeck’s control, payment shall be due within 30 days after Polydeck notifies Purchaser that the machinery or equipment is ready for shipment.

3. Storage

Materials, work in process, and finished or unfinished products held in storage shall be at Purchaser’s risk and subject to storage charges. Polydeck shall have no liability for such stored items except to the extent covered by insurance.

4. Installation

Purchaser shall be responsible for installing machinery or equipment purchased from Polydeck and for all associated installation costs, unless otherwise agreed in writing.

5. Specifications & Warranty

Specifications and stated weights of materials required for fabrication are descriptive and do not constitute warranties. No warranties, express or implied, statutory or otherwise, apply except those expressly stated in these Terms & Conditions of Sale.

Polydeck warrants machinery or equipment it manufactures against defects in material and workmanship under normal use and service for which it is designed. Polydeck’s obligation under this warranty is limited to furnishing, repairing, or replacing, at Polydeck’s option, any part Polydeck determines to be defective.

Purchaser shall be responsible for dismantling and assembly at Purchaser’s plant, necessary packaging, and transportation costs. Purchaser waives any right to damages for breach of warranty if Purchaser cancels the order.

6. Purchaser-Supplied Materials & Designs

When Purchaser supplies materials, Polydeck’s liability for damage to those materials shall not exceed the value of the work Polydeck performs on them.

Purchaser shall reimburse Polydeck for extra or wasted work and replacement costs resulting from defective materials supplied by Purchaser.

Any designs, drawings, or specifications supplied by Purchaser shall be strictly followed. Polydeck assumes no responsibility for their suitability for the intended application.

7. Limitation of Liability & Unauthorized Work

Polydeck shall not be liable for any special, indirect, or consequential damages arising from loss of production or other losses due to machinery or equipment failure.

Polydeck will not provide allowances or reimbursement for repairs, replacements, or alterations made by Purchaser without Polydeck’s written consent.

8. Third-Party Equipment & Components

Auxiliary equipment and components purchased from third parties and supplied by Polydeck are warranted only to the extent of the original manufacturer’s warranty.

9. Delivery & Delays

Delivery dates are based on Polydeck’s best estimate at the time it receives all final engineering and manufacturing information.

Polydeck shall not be liable for delays in delivery caused directly or indirectly by circumstances beyond its control, including acts of God, war or national emergency, fire, flood, foreign exchange restrictions, or other governmental regulations or restrictions. Purchaser may not cancel an order because of delays arising from such circumstances.

Purchaser shall be responsible for any additional expenses Polydeck incurs due to delays in receiving details, specifications, or other relevant information, or due to changes requested by Purchaser.

10. Patent Delivery

If Purchaser uses any article supplied by Polydeck in a manner that infringes a patent without authorization, Purchaser shall indemnify and hold Polydeck harmless from all damages and costs arising from claims that Polydeck contributed to or induced that infringement, provided the infringement is not caused solely by the construction of the supplied article.

11. Order Cancellation

Purchaser may cancel an order only by providing written notice to Polydeck and paying reasonable cancellation charges determined by Polydeck.

12. Order Cancellation

Delivery and material terms are subject to governmental priorities and restrictions. If an order involves a government contract, Purchaser shall state this in the order and provide the contract number and applicable renegotiation provisions.

13. Quotation Validity & Contract Acceptance

Unless otherwise stated, Polydeck quotations are valid for 30 days from the date issued. Polydeck may change a quotation during that period by providing written notice to Purchaser.

Purchaser’s approval of a quotation, whether in writing or through another written communication, constitutes an offer. A binding contract is formed only when Polydeck accepts that offer.

Polydeck’s written quotation, Purchaser’s written offer, and Polydeck’s written acceptance constitute the entire agreement between the parties. No employee, agent, or representative of either party may change these Terms & Conditions of Sale or make any other agreement or representation unless duly authorized and documented in writing.
